Terms of Use

1. This agreement

These Terms of Use (the “Terms”) are a binding contract between you and Goazon LLC (“Goazon,” “we,” “us”), the operator of this website and every related page, feed, email and application (the “Service”). By visiting, creating an account, posting, connecting a calendar or website, or paying us, you accept these Terms and our Privacy Policy, Posting Guidelines and Refund Policy, all incorporated here by reference. If you do not accept them, do not use the Service.

If you accept on behalf of a business, venue, nonprofit or other organization, you represent that you are authorized to bind it, and “you” means that organization.

2. Eligibility and accounts

You must be at least 18 years old to hold an account or post. You are responsible for everything done through your account, for keeping your credentials secure, and for the accuracy of the identity or organization details you give us. We may refuse, suspend or terminate any account at our discretion, including for conduct that harms other users, the Service or our reputation.

3. What Goazon is — and is not

Goazon is a listing and discovery board. We are a venue for third-party content, not the organizer, promoter, host, seller, ticket agent, escrow agent or insurer of any event, sale, item or venue you find here. We do not verify every fact in a listing, and we take no part in dealings between you and an organizer, seller or attendee.

Screening, verification badges and human review reduce risk. They are not a guarantee of safety, legality, quality, attendance, accuracy or that any event will happen.

4. Rules for posting

You may post only events, sales, services or places you are authorized to represent, with accurate dates, locations, prices and contact details. The Posting Guidelines are part of these Terms and list prohibited content in full, including: discrimination, harassment or hate; violence or threats; illegal goods, services or activity; weapons and controlled substances; adult or sexual content; gambling; multi-level marketing and recruitment schemes; deceptive, fake or duplicate listings; impersonation; malware or phishing; and any content that infringes someone else’s copyright, trademark, privacy or publicity rights.

Every listing is screened and may be edited, delayed, rejected or removed at any time, for any reason or none. Editing a live listing sends it back through review.

You are solely responsible for every post you make — its accuracy, lawfulness, safety and consequences. Goazon is a passive host and listing board, not the organizer, promoter, seller, guarantor or insurer of any event, sale or listing, and is not liable for your posts or for anything that arises from them. If your post causes a problem, you — not Goazon — answer for it, as set out in sections 6 and 12.

5. Fees, subscriptions and renewals

Listing fees and subscription prices are those posted on the pricing page at the time you buy, in U.S. dollars and exclusive of any applicable tax. One-time listing fees are charged when you submit for review. Calendar Sync plans are subscriptions that renew automatically each month at the then-current price until you cancel, and you authorize us and our payment processor to charge your payment method on each renewal.

Cancel any time from your account; cancellation stops the next renewal and your plan runs to the end of the paid period. Refunds and credits are governed by the Refund Policy. We may change prices with notice on the pricing page and by email before your next renewal. Unpaid or reversed charges may result in listings being unpublished.

6. Your content, and the licence you grant us

You keep ownership of the text, photos, logos, artwork and other material you submit (“Your Content”). You grant Goazon LLC a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, adapt for size and format, publish, display, distribute and perform Your Content for the purposes of operating, securing, improving and promoting the Service — including on the board and map, in listing pages, in the opt-in email digest, in search-engine and social previews, and in reasonable marketing samples of the Service.

The licence lasts while your listing runs and for a reasonable archival period afterwards, and it survives for copies already distributed (for example, an email already sent).

You represent and warrant that you own Your Content or have every licence, release and permission needed — including from photographers, artists, performers and anyone identifiable in an image — and that publishing it here infringes no one’s rights. You are solely responsible for Your Content and you indemnify us for it under section 12.

7. Connected calendars and watched websites

If you connect a calendar feed or ask us to watch your website, you authorize us to fetch, store and republish the event information, images, posters and logos we find at those addresses, and you grant the licence in section 6 for that material. You confirm you own or control the site and hold the rights to everything we may import from it, including promoter artwork and third-party photography.

We verify control of a domain before importing, re-check periodically, and pause imports if verification disappears. Automatic listing is a convenience you switch on; you remain the publisher of, and responsible for, every listing created from your sources. Remove anything from your source, or switch the connection off, and we stop importing it.

8. Our intellectual property

The Service itself is ours. Goazon LLC owns or licenses all rights in the Goazon name and logo, the cork-board and pushpin visual design, the site’s look and feel, artwork, icons, illustrations, copy, layouts, software, source code, databases, and the selection, arrangement, categorization, geocoding, screening logic and compilation of listings and venue data (collectively, the “Goazon Materials”). These are protected by copyright, trademark, trade-dress, database and unfair-competition law. All rights not expressly granted are reserved.

We grant you a limited, personal, revocable, non-transferable licence to view and use the Service for its intended purpose. You may not, and may not let anyone else: copy, mirror, frame or republish the Goazon Materials; scrape, crawl, harvest or bulk-download listings or venue data by any automated means; use our content to train, fine-tune or ground a machine-learning model; build a competing or derivative listing service from our data; reverse engineer or decompile the Service; remove proprietary notices; or use our name, logo or trade dress without prior written permission.

Feedback and suggestions you send us may be used freely and without obligation. Nothing here transfers any of your rights to us beyond the licences described in sections 6 and 7, and nothing transfers our rights to you.

9. Copyright complaints (DMCA)

We respond to valid copyright notices and remove infringing material. See the Copyright & DMCA page for how to send a notice or counter-notice, and for our designated agent. Accounts that repeatedly infringe are terminated.

10. Third-party links, venues and services

Listings link out to venue sites, ticket sellers, maps and social pages we do not control. Those links open in a new tab and are provided for convenience only; we do not endorse them and are not responsible for their content, products, prices or privacy practices. Payments are handled by a third-party processor under its own terms.

11. Disclaimers

The Service and all content are provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that listings are accurate, lawful or complete.

You use listings, attend events and meet strangers at your own risk. Use ordinary caution with deposits, cash sales and private addresses.

12. Limitation of liability and indemnity

To the fullest extent permitted by law, Goazon LLC and its owners, staff and contractors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, or personal injury or property damage arising from an event, sale or person you found through the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the three months before the claim, or one hundred U.S. dollars ($100).

You agree to defend, indemnify and hold us harmless from any claim, demand, loss or expense (including reasonable legal fees) arising out of Your Content, your listings or events, your connected sources, your breach of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or end your access, and unpublish listings, immediately for a breach of these Terms or a risk to other users. Sections 6 through 15 survive termination.

14. Disputes, arbitration and class-action waiver

Please contact us first at legal@goazon.com; most issues are settled informally within 30 days. If they are not, you and Goazon LLC agree that any dispute arising out of the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Larimer County, Colorado, and judgment may be entered on the award in any court of competent jurisdiction.

You and we waive any right to a jury trial and to participate in a class, collective or representative action. Claims must be brought individually.

Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property. You may opt out of arbitration by emailing legal@goazon.com within 30 days of first accepting these Terms. Any claim must be filed within one year of when it arose.

15. General

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. If a provision is unenforceable, the rest stays in force. We may assign these Terms in a merger or sale of the business; you may not assign them. Our failure to enforce a provision is not a waiver. These Terms, with the policies referenced in section 1, are the entire agreement between us.

We may update these Terms; material changes are posted here with a new date and, for account holders, sent by email before they take effect. Continuing to use the Service after that date means you accept the update.
